1. ACCEPTANCE OF TERMS

By accessing, downloading, installing, or using the Tern application or website (collectively, the "Platform" or "Services"), you ("User," "Creator," or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

1.1 Your use of Tern constitutes acceptance of this entire agreement between you and Aentury ("Company," "we," "us," or "our").

1.2 We reserve the right to modify these Terms at any time. Material changes will be announced through the Platform or via email. Your continued use of Tern following such modifications confirms your agreement to the updated Terms.

2. USER ELIGIBILITY

2.1 Age Requirement: Users must be at least 18 years of age to create an account and use monetization features. Users aged 13-17 may use the platform for viewing content only (no upload or monetization).

2.2 Accurate Information: You represent and warrant that:

• All information you provide is accurate, current, and complete
• You will maintain the accuracy of your account information
• You have the legal authority to enter into this agreement
• You are not prohibited from using the Services under applicable law

3. USER-GENERATED CONTENT (UGC)

3.1 Ownership

You retain all ownership rights in any content you submit, upload, post, or display on Tern ("User Content"), including videos, photos, text, comments, and metadata.

3.2 License Grant

By submitting User Content to Tern, you grant Aentury a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Host, store, and backup your content
• Display and distribute your content across the Platform
• Distribute your content to third-party platforms and partners
• Analyze your content using AI systems (see Section 4)
• Create derivative works for platform optimization
• Promote your content in marketing and discovery features
• Monetize your content through ads, sponsorships, and creator revenue sharing

3.3 Content Responsibility

You are solely responsible for User Content you submit. You represent and warrant that:

• You own the content or have necessary rights to grant the above license
• The content does not infringe on intellectual property, privacy, or publicity rights
• The content was filmed with consent of all parties filmed
• The content complies with all applicable laws

3.4 Content Removal

Aentury reserves the right to remove or disable access to any User Content at any time, for any reason, including violation of these Terms, applicable law, or our Community Guidelines.

4. AI PROCESSING DISCLOSURE

4.1 AI Systems

Tern uses artificial intelligence systems that may analyze User Content to:

• Extract metadata and location information
• Enhance search functionality and content discovery
• Generate informational responses and summaries
• Screen content for policy violations before publication (profanity, hate speech, sexual content, AI-generated content, violence)
• Classify content for moderation
• Personalize user recommendations
• Detect and block AI-generated or synthetic media

4.2 AI Accuracy Disclaimer

IMPORTANT: Our AI systems may analyze your uploaded videos to provide informational responses and metadata. AI-generated responses are for informational purposes only and may not always be accurate. Aentury makes no warranties regarding the accuracy, completeness, or reliability of AI-generated information.

4.3 User Acknowledge

By using Tern, you acknowledge and agree that:

• AI systems may process your content
• AI outputs should not be relied upon for critical decisions
• Aentury is not liable for any errors or inaccuracies in AI-generated information
• AI may improve over time through machine learning

5. CONTENT MODERATION & ENFORCEMENT

5.1 Automated Content Screening

All user-submitted content (comments, captions, media uploads) is subject to automated pre-publication screening by AI systems. This screening checks for:

• Profanity, hate speech, and threats
• Sexual or explicit content in media
• AI-generated or synthetic content (deepfakes, artificially rendered scenes)
• Violence and graphic content
• Spam and automated behavior

Content that violates our policies is blocked before it is published. You will receive a clear explanation of why your content was blocked.

5.2 Progressive Enforcement

Repeated violations result in escalating consequences:

• Warnings 1-2: Content removed, warning notice sent via in-app mail, account remains active
• Warning 3: Account automatically suspended for 7 days; access restricted to Messages tab only
• Warning 5: Account permanently banned; access restricted to Messages tab only

Severe violations (child exploitation, terrorism, doxxing, payment fraud) result in immediate permanent ban regardless of prior history.

5.3 Account Status

Your account may be in one of the following states:

All moderation actions (warnings, suspensions, bans) are communicated to you through:

• In-app mail to your Messages inbox
• Details of the violation, your warning count, and consequences
• Information about how to appeal

5.5 Appeals

You may appeal any moderation action. Only one appeal may be active at a time. Appeals are reviewed by our moderation team within 5-15 business days depending on severity. See our Community Guidelines for full appeal procedures.

6. MONETIZATION TERMS

6.1 Creator Eligibility

To participate in Tern's monetization program, you must:

• Be at least 18 years of age
• Have an active account in good standing
• Meet minimum follower/view thresholds (communicated separately)
• Comply with all Terms and Community Guidelines
• Have a valid payment method enabled

6.2 Revenue Sharing

• Creators earn revenue from platform monetization (ads, sponsorships, brand partnerships)
• Revenue calculations and payment terms are detailed in the Creator Monetization Agreement
• Payment frequency, thresholds, and methods are at Aentury's sole discretion

6.3 Monetization Suspension

Aentury reserves the right to suspend or terminate monetization privileges if:

• You violate these Terms or Community Guidelines
• Your content violates copyright or other IP rights
• You engage in fraudulent activity
• You breach the Creator Monetization Agreement

6.4 Tax Responsibility

You are solely responsible for:

• Reporting all earnings as income in your jurisdiction
• Paying applicable taxes (income tax, VAT, withholding tax, etc.)
• Complying with tax obligations in your country

Aentury will issue tax identification documents as legally required but assumes no responsibility for your tax obligations.

6.5 Payment Processor

Payments are processed through Paystack and subject to their terms and conditions. Aentury is not responsible for payment delays, failures, or disputes.

7. PROHIBITED CONTENT

Users agree NOT to submit User Content that:

• Defames or misrepresents a business, place, person, or entity
• Contains false or misleading reviews designed to harm a business
• Incites hate, violence, or harassment based on protected characteristics
• Involves illegal filming (e.g., recording without consent, filming private spaces)
• Infringes copyright (unauthorized music, videos, logos, artwork)
• Harasses or intimidates individuals or groups
• Features staged or fake content misrepresenting a place or experience
• Violates privacy by filming people without consent
• Promotes illegal activities or services
• Is sexually explicit or obscene
• Contains AI-generated or synthetic content presented as authentic (deepfakes, AI-rendered scenes, synthetic faces)
• Contains scams or fraud schemes

8. INTERACTION LIMITS

8.1 Follow Rate Limiting

To prevent spam and automated abuse, users may follow a maximum of 200 accounts per day. This limit resets daily. Exceeding this limit will temporarily block further follow actions. Systematic abuse of follow/unfollow patterns may result in a warning.

8.2 Other Limits

Aentury reserves the right to impose rate limits on any platform action (comments, messages, posts, profile updates) to prevent abuse, spam, and automated behavior. Current limits are communicated in our Community Guidelines.

9. INTELLECTUAL PROPERTY

9.1 Company IP

All platform technology, AI models, trademarks, logos, software, design elements, and documentation remain the exclusive property of Aentury. You are granted only a limited, revocable license to use the Platform as specified in these Terms.

9.2 Restrictions

You may not:

• Copy, modify, or adapt Tern's technology
• Reverse engineer or decompile the platform
• Remove any proprietary notices or labels
• Use Aentury's intellectual property for competitive purposes

10. LIMITATION OF LIABILITY

10.1 "AS IS" Provision

Tern is provided "as is" without warranties of any kind, express or implied. Aentury disclaims all warranties including merchantability, fitness for purpose, and non-infringement.

10.2 Liability Cap

Aentury shall NOT be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of data, revenue, or business opportunities
• Damage to devices or loss of earnings
• Errors or inaccuracies in AI information
• Third-party conduct or content

10.3 Limitation

Under no circumstances shall Aentury's total liability exceed the amount you paid (if any) in the past 12 months.

11. BUSINESS & PLACE DISCLAIMER

11.1 Content Verification

Aentury does not verify or endorse the accuracy of user-submitted content regarding any place, business, or entity. All content is user-generated and unmoderated unless flagged for violation.

11.2 No Management

Tern does not:

• Verify information about businesses or places
• Guarantee ratings or reviews accuracy
• Recommend or endorse any business or location
• Accept responsibility for user experience at featured places

11.3 Third-Party Liability

Aentury is not responsible for:

• Products or services offered by featured businesses
• Quality or safety of experiences at recorded locations
• Contractual disputes between users and businesses
• Reviews or ratings posted by other users

12. CONTENT REMOVAL RIGHTS

12.1 Aentury reserves the absolute right to remove, disable access to, or modify any User Content, at our sole discretion, without notice, for any or no reason.

12.2 We are not obligated to retain User Content during account deletion or after termination of service.

13. ACCOUNT SECURITY

13.1 You are solely responsible for maintaining the confidentiality of your login credentials.

13.2 You are liable for all activity under your account. Notify us immediately of unauthorized access.

13.3 Aentury is not responsible for unauthorized account use or security breaches beyond our reasonable control.

14. GOVERNING LAW & DISPUTE RESOLUTION

14.1 Jurisdiction: These Terms are governed by the laws of Ghana and the African Union, where applicable.

14.2 Arbitration: Any disputes shall be submitted to binding arbitration rather than court proceedings, except for intellectual property claims.
