1. PROGRAM OVERVIEW

1.1 What is the Tern Creator Program?

The Tern Creator Monetization Program allows eligible creators to earn revenue from content posted on the Tern platform. This agreement outlines the rights, responsibilities, and payment terms for participating creators.

1.2 Creator Status

By enrolling in the program, you acknowledge:

You enter into an independent contractor relationship with Aentury
You are not an employee, agent, or partner of Aentury
You are responsible for all taxes, insurance, and legal compliance
Aentury retains final authority over policy enforcement

1.3 Program Changes

Aentury reserves the right to:

Modify monetization terms with 30 days notice
Change revenue sharing percentages
Add or remove monetization features
Suspend or terminate the program entirely

Significant changes will be communicated via email and in-app notification.

2. ELIGIBILITY REQUIREMENTS

2.1 Basic Requirements

To participate in the Creator Program, you must:

Age:

Be at least 18 years of age
Provide proof of age if requested

Account Status:

Have an active Tern account in good standing
Not have had account suspension in past 12 months
Not have violated Guidelines in the past 90 days

Performance Thresholds:

Minimum 1,000 followers
Minimum 10,000 total video views
At least 5 published videos
Account must be active for 30 days

2.2 Ongoing Eligibility

To remain in the program, you must:

Maintain active content creation (at least 1 video per month)
Comply with Community Guidelines
Comply with these Terms
Maintain accurate information (payment details, tax ID)
Not engage in prohibited activities (see Section 6)

2.3 Ineligibility

You are ineligible if you:

Are under 18 years old
Have been permanently banned from Tern
Are currently banned from monetization
Have falsified account information
Are subject to sanctions from applicable governments

2.4 Verification

Aentury may require:

Identity verification
Tax identification information
Bank account verification
Proof of business registration (if applicable)

You must provide accurate information. False information may result in immediate disqualification.

3. REVENUE MODEL & CALCULATION

3.1 Revenue Sources

Creator earnings come from:

Ad Revenue (Primary):

Video ads displayed on your content
Ad impressions and CPM-based payouts
Aentury shares 55% of net ad revenue with creators

Sponsorships & Partnerships:

Direct brand deals and sponsorships
Creator retains 100% of sponsorship fees (minus payment processing)
Must be disclosed per FTC/local guidelines

Super Chats/Gifts:

Viewer donations and virtual gifts
Creator receives 70% of gift revenue
Aentury retains 30% for payment processing

3.2 Revenue Calculation

Monthly Earnings Calculation:

Total CPM Revenue = (Total Video Views � CPM Rate) / 1000

Where:
- CPM = Cost Per Mille (price per 1,000 views)
- CPM varies by: geography, content category, seasonality
- CPM typically ranges: $1�$12 USD equivalent

Creator Share = Total CPM Revenue � 55%

Example:

100,000 views per month
Average CPM: $5
Gross Ad Revenue: (100,000 � $5) / 1,000 = $500
Creator Earnings: $500 � 55% = $275/month

3.3 Payment Thresholds

Minimum Payout: GHS 100 (�$9 USD)
Payment Frequency: Monthly (paid on 15th of following month)
Threshold: Must reach minimum before payout is processed

Unpaid earnings below the threshold carry over to the next month.

3.4 Revenue Factors

Your earnings depend on:

Geography: Content viewed in developed markets earns higher CPM
Content Category: Entertainment/lifestyle earns differently than niche content
Seasonality: Higher rates during peak advertising seasons (holidays, events)
Audience Engagement: Higher engagement = higher platform value
Video Performance: Longer watch time = more ad impressions

3.5 No Guarantee of Earnings

Revenue is not guaranteed
Earnings may fluctuate significantly month-to-month
Algoritmic changes may affect visibility and earnings
Ad rates are set by advertisers, not Tern
Aentury is not liable for earnings variations

4. PAYMENT TERMS

4.1 Payment Method

Payments are processed through:

Primary: Paystack (international payment processor)
Alternative: Mobile money in supported countries (MTN Ghana, Telecel, etc.)
Valid in: Ghana, Nigeria, Kenya, South Africa, and expanding

4.2 Payment Details Required

To receive payments, you must provide:

Valid banking information (account number, routing code)
Or mobile money number (verified by SMS)
Tax identification number
Full legal name and address
Proof of identity

4.3 Payment Processing

Timeline:

Earnings calculated: Last day of each month
Payment processing: 1�5 business days
Funds deposited: 3�7 business days (depends on bank)
Paystack fees: Deducted from creator payment

Paystack Fees:

Ghana: 1.95% + GHS 0.50
Nigeria: 1.5% + ?10
Other countries: Varies

4.4 Tax Responsibility

Creator Obligations:

You are solely responsible for reporting earnings as income
You must file tax returns in your jurisdiction
You must pay all applicable taxes (income tax, VAT, withholding tax, etc.)
You must comply with your country's tax laws

Aentury's Role:

Aentury will provide tax documentation as required by law
We issue payment statements showing gross/net income
We may issue 1099 forms (for US creators) or equivalent
We comply with local tax reporting requirements

Tax Compliance:

Failure to pay taxes is your legal responsibility
Aentury is not responsible for your tax obligations
We may withhold payments if required by tax authorities
We report earnings to tax authorities as legally required

4.5 Payment Failures

If payment fails:

We will retry once automatically
You will be notified of the failure
You may update payment details and resubmit
Unprocessed payments remain in your account

4.6 Payment Disputes

If you believe a payment is incorrect:

Contact: creators@aentury.com
Provide: Payment period, expected amount, actual amount
Include evidence: Screenshots, video data, etc.
We will investigate within 10 business days

5. CREATOR RESPONSIBILITIES

5.1 Content Standards

Your monetized content must:

Original content or properly licensed material
Honest and authentic experiences
Accurate information about places
Proper disclosure of sponsorships
Compliance with all platform Guidelines
Respect to people's privacy and dignity
No illegal or dangerous activities

? Don't Do This:

Plagiarized or stolen content
False or misleading information
Undisclosed sponsorships
Copyright infringement
Harassment or hate speech
Illegal activities
Deceptive practices

5.2 Disclosure Requirements

You must clearly disclose:

Sponsorships: Use #ad or #sponsored prominently
Affiliate Links: Clearly indicate referral links
Relationships: Disclose financial relationships with featured businesses
Compensation: Disclose if you've been paid to feature a place/product
AI: Acknowledge if content is AI-generated

Failure to disclose = content demonetized and potential suspension

5.3 Advertising Standards

If you accept brand sponsorships:

Follow all FTC/ADVERTISING STANDARDS guidelines
Don't make false claims about products
Don't encourage dangerous use of products
Don't target minors inappropriately
Must verify brand legality before promotion

5.4 Copyright Compliance

Your content must:

Use only music you have licensed or created
Not use copyrighted footage without permission
Respect brand trademarks
Follow fair use guidelines
Obtain permission for interviews/footage

Repeated copyright violations = monetization termination

5.5 Community Engagement

As a monetized creator:

You influence your community, so lead by example
Discourage harassment in your comments
Report violators to Tern moderation
Don't engage in toxic behavior
Support other creators ethically

5.6 Account Maintenance

You must:

Keep account information current
Maintain valid payment details
Respond to compliance inquiries within 7 days
Report any account compromises immediately
Not share login credentials

6. FRAUD & MISCONDUCT

6.1 Prohibited Activities

The following result in immediate demonetization and possible account suspension:

Artificial Engagement:

Purchasing fake views, likes, or followers
Using bots to inflate engagement
Participating in view-trading schemes
Click-spam or artificial traffic generation
Coordinated inauthentic behavior

Financial Fraud:

False information on tax forms
Claiming earnings for videos you don't own
Misrepresenting audience size or engagement
Creating dummy accounts to inflate earnings
Payment method fraud or money laundering

Content Manipulation:

Repeatedly uploading identical/near-identical content
Rapid account switching to circumvent restrictions
Reposting others' content as your own
Coordinated manipulation of algorithm
False location metadata

Scams & Deception:

Crypto or investment scams
Pyramid schemes or MLM promotion
Misleading product claims
Extortion or payola schemes
False giveaways or contests

6.2 Fraud Detection

Aentury uses:

Automated fraud detection systems
AI monitoring for suspicious patterns
Manual review of flagged creators
Payment processor fraud alerts
User reporting

6.3 Consequences

First Offense (Confirmed Fraud):

Immediate demonetization
Account suspension (30�90 days)
Forfeiture of accrued earnings
Opportunity to appeal

Severe Fraud (Repeated or Large-Scale):

Permanent account termination
Reporting to law enforcement (if applicable)
Legal action to recover damages
No appeal or reinstatement

6.4 Appeal Process

If you believe you've been falsely accused:

Provide: Detailed explanation and any evidence
Response within: 10 business days

Note: Fraudulent appeals may result in permanent termination.

7. TERMINATION RIGHTS

7.1 Termination by Creator

You may leave the program anytime by:

Deactivating your account
Requesting removal from monetization
Email: monetization@aentury.com

Your accrued earnings will be paid out (within 60 days) provided you haven't violated terms.

7.2 Termination by Aentury

Aentury may remove you from monetization for:

Guideline Violations:

Repeated Community Guidelines violations
Copyright infringement
Sponsored content violations
Misleading or false content
Potential for harm

Fraud or Misconduct:

Suspected fraud (payment, engagement, etc.)
Tax evasion or legal violations
Dangerous or illegal content
Harassment or threats

Underperformance:

Account inactive for 90+ days
Earnings consistently below engagement (algorithm abuse)
Failure to maintain eligibility standards

Legal Action:

Cease & desist orders
Intellectual property claims
Law enforcement requests

7.3 Termination Notice & Payout

We Will:

Provide 30 days notice (unless for severe violations)
Pay any accrued earnings owed
Allow appeal within 30 days

Exceptions (Immediate Termination, No Payout):

Fraud or financial crimes
Child exploitation or CSAM
Terrorism or violence
Severe copyright/IP infringement
Money laundering or illegal activity

7.4 Reinstatement

After suspension or removal, you may apply for reinstatement if:

Suspension period has ended
You've corrected the violation
You provide written commitment to comply
You pass eligibility review again

Reinstatement is at Tern's sole discretion and not guaranteed.

8. BRAND PARTNERSHIPS & SPONSORSHIPS

8.1 Direct Sponsorships

If brands contact you directly:

You may negotiate independently
You retain 100% of sponsorship fees
You must still follow Tern disclosure guidelines
Undisclosed sponsorships violate Terms

8.2 Tern Brand Program

Tern may connect you with brands:

Tern facilitates but doesn't manage deals
You negotiate fees directly with brands
Tern may take 10�20% commission on Tern-brokered deals
You retain ownership of content created

8.3 Brand Restrictions

You may NOT promote:

Illegal services or products
Counterfeit goods
Predatory financial services
Unregulated cryptocurrency (outside legal frameworks)
Tobacco or controlled substances (in restricted jurisdictions)
Products violating Tern policies

8.4 Integrity & Authenticity

9. CONTENT OWNERSHIP & RIGHTS

9.1 Your Ownership

You retain ownership of all original content you create. Aentury does not claim copyright.

9.2 License Grant

By monetizing content on Tern, you grant Aentury:

Exclusive right to monetize your content
Right to place ads on your videos
Right to analyze content (for recommendations, moderation)
Right to promote content in marketing
Right to distribute globally on Tern platform

9.3 Third-Party Distribution

Aentury may:

License your content to third-party platforms (YouTube, TikTok sync, etc.)
Revenue from third-party distribution is split per original agreement
Residual exposure benefits your channel

9.4 Creative Control

You maintain creative control. Tern may not:

Edit your content without permission
Change your message or intent
Claim creative credit
Reuse content without crediting you

9.5 De-Monetized Content

If we remove monetization from a video:

Content remains posted (unless violates Guidelines)
You cannot earn further revenue
Content may be archived or removed after 30 days
You may request content deletion

10. DISPUTE RESOLUTION

10.1 Good Faith Discussion

Before escalating, we encourage:

Direct communication with support team
Clarification of the issue
Documentation of the problem
Reasonable compromise

10.2 Formal Disputes

If informal resolution fails:

Step 1 - Escalation Email: disputes@aentury.com

Subject: Creator Dispute - [Your Username]
Include: Full details, documentation, resolution sought

Response Time: 10 business days

Step 2 - Review Internal review by senior management

Review of all evidence
Determination of contractual violation
Final decision

Response Time: Additional 10 business days

10.3 Binding Arbitration

Any unresolved disputes shall be submitted to binding arbitration:

Arbitrator: Independent arbitrator agreed upon by both parties
Location: Accra, Ghana
Language: English
Costs: Each party bears own costs; arbitrator fees split equally

Arbitration is binding and enforceable.

10.4 No Class Actions

You agree not to participate in class actions or collective lawsuits against Aentury.

10.5 Governing Law

These terms are governed by the laws of Ghana and applicable African Union regulations.

11. MODIFICATIONS & UPDATES

11.1 Changes to Agreement

Aentury may modify this agreement:

With 30 days advance notice
Material changes announced via email
Changes take effect upon notice
Continuation of monetization constitutes acceptance
